Terms of Service

These terms govern your use of microhub.in and any remote staffing, IT, software or marketing service you buy from MicroHub Technology Solutions. Where a signed proposal, statement of work or master services agreement exists, that document takes precedence over anything below.

No lock-in contracts

Monthly engagements roll forward and can be ended with 30 days' written notice.

You own the output

Deliverables transfer to you on full payment — code, content, creatives and documentation.

Replacement guarantee

If a placed remote employee isn't the right fit, we replace them at no additional placement cost.

1 Acceptance

By browsing this website, submitting an enquiry, or accepting a MicroHub proposal, you agree to these terms on behalf of yourself and the organisation you represent. If you do not agree, please do not use the site or our services.

You confirm you are at least 18 years old and authorised to enter into agreements for your organisation.

2 Our services

MicroHub provides, among other offerings:

  • Remote employees and virtual assistants for admin, sales support, accounting, customer service and back-office operations.
  • IT services including networking, hardware supply, CCTV, cloud and infrastructure support.
  • Software and web development, plus ongoing maintenance.
  • Digital marketing, SEO and content services.

The precise scope, deliverables, timelines and service levels for your engagement are defined in the proposal or statement of work we sign with you.

3 Remote staffing model

  • Remote employees remain employed or contracted by MicroHub. We handle their payroll, statutory contributions, equipment and day-to-day HR.
  • You direct their work within the agreed role, hours and time zone. This is a managed-services arrangement and does not create an employment relationship between you and our staff.
  • Working hours, holidays, escalation paths and reporting cadence are set out in the engagement document.
  • If a placement is not performing, tell us in writing. We will remediate or replace the person, ordinarily within 15 working days.
  • You agree not to solicit or directly hire MicroHub personnel during the engagement or for 12 months afterwards without our written consent.

4 Your responsibilities

  • Provide accurate briefs, approvals and the access our team needs to do the work.
  • Keep the licences and accounts required on your side (CRM seats, ad accounts, hosting, third-party tools).
  • Nominate a point of contact who can make decisions and respond to blockers.
  • Ensure any data you give us was lawfully collected and may be processed for the purpose you have asked us to fulfil.
  • Pay invoices on the agreed terms.

Delays caused by pending approvals, missing access or unavailable stakeholders may shift agreed timelines.

5 Fees & payment

  • Fees, currency, billing cycle and any onboarding charges are stated in your proposal.
  • Recurring staffing and retainer fees are invoiced in advance; project milestones are invoiced on completion.
  • Unless stated otherwise, invoices are payable within 7 days of issue.
  • Prices exclude applicable taxes, duties and third-party pass-through costs (hardware, licences, ad spend), which are billed at cost or as quoted.
  • Overdue accounts may be suspended after written notice; suspension does not waive fees already due.
  • Fees for delivered work are non-refundable. Prepaid, undelivered periods are refunded pro rata if we terminate.

6 Scope changes

Either side may request a change to scope, role definition or timeline. Changes are confirmed in writing along with any effect on fees or delivery dates before the work starts. Small adjustments inside an existing retainer are absorbed at our discretion.

7 Intellectual property

  • You retain ownership of everything you supply: brand assets, data, systems and pre-existing materials.
  • On receipt of full payment, ownership of the bespoke deliverables we create for you transfers to you.
  • MicroHub retains ownership of its own pre-existing frameworks, internal tooling, templates and know-how, and may reuse them on other engagements.
  • Third-party components remain subject to their own licences; we will tell you where any apply.
  • We may reference your name and a high-level description of the work in our portfolio unless you ask us in writing not to.

8 Confidentiality

Each party will keep the other's non-public information confidential, use it only to perform the engagement, and protect it with at least the care it applies to its own confidential information. Our personnel sign NDAs before onboarding. Obligations survive termination and continue for three years, or indefinitely for trade secrets and personal data.

9 Acceptable use

You agree not to use our services or personnel to:

  • Break any applicable law, sanction or regulation.
  • Send unsolicited bulk messaging, run deceptive campaigns or manipulate reviews.
  • Access systems or data you are not authorised to access.
  • Handle unlawful content, or ask staff to work outside the agreed role in unsafe or unethical ways.

We may suspend work immediately if an instruction would breach this clause, and will explain why in writing.

10 Warranties & disclaimers

We warrant that our services will be delivered with reasonable skill and care by suitably qualified people. Beyond that, the website and its content are provided "as is": we do not warrant uninterrupted availability, or guarantee specific commercial outcomes such as rankings, lead volume or revenue, since those depend on factors outside our control.

Third-party platforms, hardware and networks carry their own vendor warranties and are not underwritten by MicroHub.

11 Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, including lost profits, lost revenue, lost data or business interruption. Our total aggregate liability arising from an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.

Nothing in these terms limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.

12 Term & termination

  • Monthly engagements continue until terminated by either party with 30 days' written notice.
  • Project engagements end on acceptance of the final deliverable.
  • Either party may terminate immediately for material breach that remains uncured 15 days after written notice, or on insolvency.
  • On termination we complete work in progress that has been paid for, hand over deliverables and access, and return or delete your data on request.
  • Clauses on confidentiality, IP, non-solicitation, liability and governing law survive termination.

13 Governing law

These terms are governed by the laws of India, and the courts of Kerala, India have exclusive jurisdiction, without prejudice to any dispute-resolution mechanism agreed in a signed master services agreement. The parties will first attempt to resolve disputes in good faith through discussion between senior representatives.
